The Society for Corporate Governance is a New York City–based nonprofit organization that serves professionals involved in corporate governance and corporate secretarial duties. It has more than 3,500 members representing roughly 2,500 companies whose work touches public disclosure under securities laws, board structure and meetings, the proxy process, annual shareholder meetings, and relations with large institutional owners. Founded in 1946 as the American Society of Corporate Secretaries, it changed its name in 2016 to reflect its governance focus, and it relies on member involvement across 25 local chapters and national committees, with a central office handling research, publications, and administrative tasks.
The organization facilitates discussion on proposed and existing rules and supports the voluntary exchange of governance practices through its committees, chapters, publications, research, seminars, and conferences. In 2024, it appointed Paul Washington as President and CEO (effective April 15) and subsequently launched Corporate Governance in Focus: Harnessing disclosure committees for modern reporting in August 2024.
