Atticus Bailey is a self-directed Opportunity Zone Fund operating as an L3C. Thousands of small and middle market companies in the U.S. are owned by Baby Boomers at or near retirement age with no succession plan or exit strategy, and no prospects of a ‘liquidity event’ from a sale. Millions of U.S. workers rely on such companies. There is a real and growing risk that those owners will suddenly and unexpectedly close the doors, depriving the workers and their families of income and sending them into crisis with uncertain prospects for future employment, especially in economically depressed areas that offer few employment opportunities. BUT: This actually provides an enormous opportunity for wealth creation for those employees by including them as owners in their companies’ acquisitions. And it provides an opportunity for exiting owners to sell at fair market value. We marshal resources to identify small- and middle-market companies located in Opportunity Zones at risk of closing and facilitate their sale to minority- and women-owned enterprises and ESOPs/Workers’ Co-ops. The ultimate goals are to: 1. retain and stabilize a region’s employer base by lending or investing acquisition capital to buy existing companies located in Qualified Opportunity Zones, and 2. transition wealth-creating ownership to those companies’ employees and certified MBEs and/or WBEs. New ownership by ESOPs and Co-Ops provide the structure for broad-based participation in wealth creation, while certified M/WBEs provide significant market opportunities for sustainable growth.
