Texas Republic Capital Corporation (TRCC), a life insurance holding company, was incorporated in Texas on May 15, 2012. TRCC has conducted four private placements raising an aggregate $10,336,500. On April 2, 2014, TRCC registered a $25,000,000 intrastate public offering with the Texas Securities Board. We will use the offering proceeds to finance the formation of a life insurance subsidiary. Additionally, if the maximum offering amount is sold, there will be capital available for the acquisition of other insurance or insurance-related companies. TRCC’s primary objective is to capitalize a Texas-domiciled life insurance subsidiary through which TRCC will underwrite and market life insurance products to Texas residents. Our marketing plan for the offering has been designed to enhance the life insurance subsidiary’s life insurance marketing effort once the offering is completed or terminated. We plan to use a face-to-face selling approach for the offering. We will recruit and train agents to market this offering only to residents of Texas. Our face-to-face approach is designed to create personal relationships with investors in the offering. At the conclusion of the offering, all agents recruited to sell the offering will be cross-trained and licensed to sell insurance products for our life insurance subsidiary. TRCC’s initial business plan priorities include: (i) the formation and capitalization of a wholly-owned Texas domiciled life insurance subsidiary with approximately $1,400,000 of the offering proceeds; (ii) the additional capitalization of the life insurance subsidiary with $2,600,000 of offering proceeds; (iii) the use of $16,000,000 of offering proceeds for additional capitalization of the life insurance subsidiary and/or acquisition of a life insurance company or insurance-related companies and (iv) the use of all remaining net offering proceeds as working capital.
