NOTICE OF DISSOLUTION
Pursuant to the laws of the Commonwealth of Viginia, Pro-Active Technologies, Inc. (the “Corporation”) has filed Articles of Dissolution with the State Corporation Commission.
The Commonwealth of Virginia State Corporation Commission has determined that the Articles of Dissolution comply with all applicable legal requirements and has ordered that a Certificate of Dissolution be issued and recorded, along with the Articles of Dissolution, in the Office of the Clerk of the Commission, effective June 24, 2025.

As of the effective date, the Corporation has ceased operations and is in the process of winding up its affairs in accordance with Virginia law.

Articles of Termination

Upon completion of the winding-up process and the satisfaction of all known liabilities and obligations, the Corporation will file Articles of Termination with the State Corporation Commission pursuant to Virginia Code § 13.1-745. The filing of the Articles of Termination will formally terminate the Corporation’s legal existence.
The Corporation is on track for filing the Articles of Termination no later than 30 December 2025.
